1) Agreement
These Terms of Service (“Terms”) govern your access to and use of SearchMCP’s Search API, MCP server, SDKs, documentation, and websites (collectively, the “Service”). By using the Service, you agree to these Terms and to our Privacy Policy.

2) Accounts & Eligibility
• You must be at least 18 and able to form a binding contract.
• You are responsible for your account credentials, API keys, and all activity under your account.
• Keep your information accurate and notify us of unauthorised use.

3) Permitted Use; Acceptable Use
You may use the Service to integrate search capabilities into software, LLMs, and agents, subject to:
• Compliance with applicable laws, intellectual property, and website terms you access via search.
• No scraping at a scale or manner that violates target sites’ terms, robots directives, or applicable laws.
• No abuse, spam, malware, denial-of-service, model-stealing, or attempts to bypass rate limits.
• No use to create substantially similar competing APIs using our confidential information.

4) API Keys, Limits, and Fair Use
• You must secure API keys and rotate them if compromised.
• We may apply rate limits, concurrency caps, and quotas to protect reliability.
• We may throttle or suspend accounts that harm service health or breach these Terms.

5) Content & Results
• Search results may include links, snippets, and metadata from third-party sources. We do not control or endorse third-party content.
• You are responsible for verifying the legality of your downstream use (e.g., caching, redistribution, training data).
• We may cache queries and result metadata to improve quality and performance (see Privacy Policy).

6) Intellectual Property
• We own the Service, software, and documentation. Rights not expressly granted are reserved.
• You own your inputs and outputs, subject to rights of third parties in underlying content.
• You grant us a limited licence to process your inputs/outputs for providing and improving the Service.

7) Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction.

8) Pricing, Billing, and Taxes
• Fees are posted in your account or order form. Usage-based charges are measured by our systems.
• You authorise us to charge your payment method for fees incurred. Fees are non-refundable except where required by law or expressly stated.
• Prices may change with prior notice; changes apply to future billing cycles.
• You are responsible for taxes; we may charge applicable taxes based on your location and tax status.

9) Free Trials & Beta Features
• Trials/betas are provided “as is” without commitments. We may modify or discontinue them at any time.
• Usage and data from trials may be used to improve the Service.

10) Uptime, Support, and Changes
• We aim for high availability but do not guarantee uninterrupted service.
• We may change or discontinue features with reasonable notice where feasible.

11) Confidentiality
• “Confidential Information” means non-public information disclosed by either party that is marked or should reasonably be considered confidential.
• Each party will protect the other’s Confidential Information and use it only for the permitted purpose.

12) Data Protection
• We process personal data as described in the Privacy Policy.
• You are responsible for providing any required notices to and obtaining any consents from your end users.

13) Term; Suspension; Termination
• These Terms start when you first use the Service and continue until terminated.
• We may suspend or terminate access immediately for material breach, security risk, or illegal use.
• You may terminate at any time by closing your account; fees incurred remain due.
• Upon termination: your right to use the Service ends; we may delete data per our retention policy.

14) Disclaimers
• THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• We do not warrant the accuracy, completeness, or legality of third-party content surfaced via search.

15) Limitation of Liability
• TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL.
• Our aggregate liability for all claims in any 12-month period will not exceed the amounts you paid to us for the Service in that period.

16) Indemnity
• You will indemnify and hold us harmless from third-party claims arising from your unlawful use of the Service or violation of these Terms.

17) Export & Sanctions
• You must comply with applicable export control and sanctions laws. You may not use the Service if you are barred by such laws.

18) Publicity
• We may identify you as a customer (name and logo) unless you opt out via email to legal@searchmcp.io.

19) Governing Law; Disputes
• These Terms are governed by the laws of England and Wales.
• Courts of London, England will have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.

20) Updates to Terms
• We may update these Terms from time to time. Material changes will be notified via the site or email. Continued use constitutes acceptance of the updated Terms.
